Terms of Service

These Terms of Service ("Terms") govern your use of ortopylot.com and the Ortopylot done-for-you Claude implementation service. By using the website, contacting us through the website form, or engaging the service, you agree to these Terms.
If you do not agree to these Terms, do not use the site or the service.
These Terms also cover the legacy assessment tool at assess.ortopylot.com, which is no longer promoted but remains available. Where a clause refers to the assessment, it applies only to that tool.
1. Who we are
These Terms are an agreement between you and:
Ortopylot. Gary Douglas, sole trader, trading as Ortopylot. ABN 77 692 744 053. Operating from Perth, Western Australia. Contact: through the contact form on our website.
References to "we", "us", and "our" in these Terms mean Gary Douglas trading as Ortopylot. References to "you" and "your" mean the person or business using the site or the service.
2. What we offer
Ortopylot is a done-for-you Claude implementation service. We capture how your business works, structure it into a foundation that Claude reads and applies, install it into your Claude environment, build working systems on that foundation, and train your team to use them.
There are two offers, and two further arrangements:
• The Setup: 2,000 Australian dollars, one-off. Your brand is captured, structured into a foundation, installed into your Claude environment, and your team is shown how to use it.
• The Implementation: from 10,000 Australian dollars, quoted per engagement. It runs in three stages: the foundation, then working systems, then adoption, with your team trained on their own documents.
• Agency partnerships: priced on enquiry.
• Ongoing operations: by separate arrangement.
The website gives information about the service and a contact form. You engage the service by contacting us, and the scope, price, and payment terms are confirmed in writing before any work starts.
We also operate a legacy assessment tool at assess.ortopylot.com. It is no longer promoted on the site but remains available, and these Terms continue to apply to it.
The site and the service are provided on an "as is" basis. We may update, change, or remove any part of the site or the service at any time.
3. Claude and Anthropic
The service installs your foundation into your own Claude environment. Claude is a product of Anthropic, a separate company. Ortopylot is independent of Anthropic, and is not affiliated with, endorsed by, or acting for Anthropic.
You are responsible for holding your own Claude account and for complying with Anthropic's terms for your use of Claude. We do not control Claude, and we do not guarantee its output, its availability, or that Anthropic will keep any particular feature. Claude can produce results that are wrong or that need checking, and you remain responsible for reviewing anything your team sends out.
4. Who can use Ortopylot
You may use Ortopylot if:
• You are at least 16 years old.
• You have the legal capacity to enter into a contract.
• You are not prohibited from using our services by any applicable law.
• Your use is for lawful purposes only.
If you are using Ortopylot on behalf of a business or organisation, you confirm you have authority to bind that business or organisation to these Terms.
5. The service
The Setup is a one-off engagement, paid once, with no ongoing or subscription fee. The Implementation is quoted per engagement, and the scope, price, payment terms, and exact deliverables are agreed in writing before any work starts. Any ongoing operations arrangement is agreed separately in writing. An agency partnership is priced on enquiry and confirmed in writing in the same way.
The build runs through approval points where you review and sign off the work. You agree to provide the material we need, access to your Claude environment, and timely feedback at those points, so the work can proceed.
You hold your own Claude account with Anthropic and pay Anthropic directly for it. Ortopylot's fees never include Anthropic's charges.
The structure, method, templates, and underlying system that make up the foundation are Ortopylot intellectual property, as set out in section 7. You receive the built foundation for use in your own business, not the right to resell or redistribute the underlying system.
We will not name you as a client, or publish your work as a case study, without your consent.
The no-guarantees wording in section 8 and the limitation of liability in section 9 apply to the service. Nothing in these Terms excludes any consumer guarantee under the Australian Consumer Law that cannot lawfully be excluded.
6. The legacy assessment
The assessment at assess.ortopylot.com is an AI-generated commercial readiness analysis of a business idea you submit. It is provided for general information and educational purposes only.
Things to understand about the assessment:
• It is not financial, legal, accounting, business, or professional advice.
• It is not a guarantee of business success or failure.
• It is generated by an AI model from the limited information you provide, and it may contain errors, omissions, or limitations inherent to AI-generated content.
• You are responsible for any decision you make based on the assessment, and you agree not to rely on it as the sole basis for any significant business or financial decision.
7. Intellectual property
What Ortopylot owns. All content on the site, the structure, method, templates, and underlying system of the service, the assessment prompts, all branding and design, and all underlying methodology are the intellectual property of Ortopylot or its licensors. Engaging the service does not transfer ownership of this underlying system to you.
What you own. You own the brand material you provide to us. On full payment, you own the brand foundation and the brand assets we deliver to you for use in your own business. Where brand assets are created as a stage inside an engagement, those brand assets become yours on full payment; the foundational document structures and methods remain Ortopylot's. You do not receive the right to resell, sublicense, or redistribute the underlying Ortopylot system.
Our use of your material. We use the brand material you provide only to build, install, and support your foundation, and we keep it confidential.
8. Disclaimers
To the maximum extent permitted by law, Ortopylot makes no warranties, representations, or guarantees about the site or the service, beyond those that cannot be excluded under the Australian Consumer Law or any other applicable law.
In particular, Ortopylot does not warrant that:
• The site will be available without interruption or free from errors.
• Claude, or any other service provider, will be available at any specific time, or will produce accurate or complete output.
• The service will lead to any particular commercial result. We make no income claim and no guarantee of business success.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded.
9. Limitation of liability
To the maximum extent permitted by law:
• Ortopylot's total liability to you for any claim arising out of or relating to these Terms, the site, or the service is limited to the amount you paid us in the twelve months immediately before the claim arose, or 100 Australian dollars, whichever is greater.
• Ortopylot is not liable for indirect, consequential, special, punitive, or incidental damages, including loss of profit, loss of revenue, loss of business opportunity, or loss of data.
• These limitations apply whether the claim is based on contract, tort (including negligence), statute, or any other legal basis.
For consumers in Australia: these limits do not apply to liability that cannot lawfully be limited under the Australian Consumer Law. Where Ortopylot is liable to you for a failure to comply with a consumer guarantee in respect of services that are not of a kind ordinarily acquired for personal, domestic, or household use, our liability is limited, at our option, to re-supplying the services or paying the cost of re-supply.
10. Indemnity
You agree to indemnify Ortopylot, its contractors, and service providers against any loss, damage, cost, or expense (including legal fees) suffered or incurred as a result of:
• Your breach of these Terms.
• Your misuse of the site or the service.
• Any claim by a third party arising from material you provided to us.
11. Suspension and termination
We may suspend or terminate your access to the site or the service at any time if we reasonably believe:
• You have breached these Terms.
• Your use poses a security or operational risk.
• We are required to do so by law.
You may stop using Ortopylot at any time. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will continue to apply.
12. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will update the "Last updated" date and, where appropriate, notify you by email or through a notice on the site. Your continued use of the site or the service after a change means you accept the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of Western Australia, Australia. You and Ortopylot submit to the non-exclusive jurisdiction of the courts of Western Australia for any dispute arising out of or relating to these Terms.
For consumers: nothing in this section prevents you from bringing a claim in the courts of the jurisdiction in which you live if local law gives you that right.
Before going to court: we encourage you to contact us first through the contact form on our website. Most issues can be resolved quickly without formal proceedings.
14. General
Severability. If any part of these Terms is found to be unenforceable, the rest of the Terms continue in force.
No waiver. If we do not enforce a right under these Terms, that does not mean we waive that right.
Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Ortopylot in relation to the use of the site and the service.
Assignment. You may not assign or transfer your rights under these Terms. We may assign or transfer our rights if we restructure, sell, or merge the business, on giving you reasonable notice.
